These Terms of Service govern your use of www.stayofftheclock.com and the AI services provided by Off The Clock. By accessing our website or engaging our services, you agree to be bound by these terms.
1. Service Agreement
By engaging Off The Clock for any service, you agree to these Terms of Service. We agree to deliver the AI systems, automations, websites, and related services described in your proposal or service agreement. Specific deliverables, timelines, and scope are defined in the individual agreement signed between you and Off The Clock.
2. Payment Terms
One-time setup fees and custom builds are invoiced upfront unless otherwise agreed. Monthly subscription services (AI Receptionist, AI Chatbot, Reputation & SEO) are billed monthly in advance. Payment is due upon receipt of invoice. Late payments may result in suspension of services until the balance is settled.
3. Cancellation
Monthly services are month-to-month with no long-term contract. You may cancel any monthly service with 30 days' written notice. One-time setup fees and custom build payments are non-refundable once work has begun. Cancellation does not entitle you to a refund of fees already paid for services rendered.
4. Client Responsibilities
You agree to provide timely access to the accounts, platforms (including GoHighLevel), branding assets, and business information required to build and maintain your systems. Delays in providing access or approvals may extend delivery timelines and are not the responsibility of Off The Clock.
5. Intellectual Property
Upon full payment, you own the final website and content created specifically for your business. Off The Clock retains ownership of underlying templates, frameworks, proprietary automation logic, and methodologies. You grant us a limited license to display completed work in our portfolio.
6. Limitation of Liability
Off The Clock is not liable for indirect, incidental, or consequential damages, including lost leads, lost revenue, or business interruption. Our total liability for any claim is limited to the amount you paid us for the service giving rise to the claim in the three months preceding the claim.
7. Governing Law
These Terms are governed by the laws of the State in which Off The Clock is incorporated, without regard to its conflict-of-law principles. Any disputes arising from these Terms or our services shall be resolved in the competent courts of that State. Because Off The Clock serves service businesses across America, this agreement is intended to be valid and enforceable throughout the United States.
